Too many joint ventures are established with the wrong partners or on disadvantageous terms because foreign investors misunderstand the nature of the market, the capabilities of their partner and the dynamics of the regulatory and bureaucratic decision-making process.

1) Market Entry

For companies new to the market, we undertake market research and assess the policy and regulatory regimes, before recommending overall market entry strategies. We identify and evaluate potential investment partners and locations, appraise competitor strategies and suggest viable business structures.

In industries where foreign investment is forbidden or highly restricted, we develop innovative strategies to circumvent market access barriers, often by gaining approval for participation in "experimental" investments that are the prelude to more general openings to foreign investment. Early access can provide a significant competitive advantage.

We have initiated several company or industry dialogues with the Chinese government and written papers on market liberalization that have been adopted by industry or trade associations and used by EU and USTR officials in bilateral trade negotiations.

2) Joint Venture and WFOE Negotiation

We work with clients to structure and negotiate equity and contractual joint ventures and WFOEs in many different industries all over China. We provide comprehensive logistical support, including interpretation and translation.

Our consulting team supports our client throughout negotiations, provide advice on negotiating strategy and tactics, the interpretation of regulations, and responses to the Chinese partner. We manage the expectations of the Chinese partner and act as a go-between to resolve difficulties.

We work with corporate and Chinese lawyers to draft all formal documents (Letters of Intent, MOUs, Joint Venture Contracts, etc.) and use our own contacts to expedite government approvals.

3) Registration and Licensing

We recommend procedures for efficient product registration and help to resolve problems with product standards, health testing, labeling and other technical issues. We also advise on trademark registration and the protection of intellectual property rights. In sectors where advertising is tightly controlled, we lobby to win approval for new campaigns.

We also provide a "one-stop shop" for the establishment of representative offices and the timely issuance of business and other licenses.
